Sejak munculnya kasus pertama pada tanggal 2 Maret 2020, masa pandemi ini masih belum berakhir. Meski demikian, tidak menghalangi keberadaan</div><div>transaksi-transaksi yang ditujukan kepada perputaran ekonomi masyarakat. Berlandaskan perbuatan hukum, sehingga menimbulkan efek legal terhadap setiap transaksi yang dilakukan. Dibutuhkan kesepakatan dari para pihak yang berkepentingan berdasarkan itikad baik dengan memperhatikan ketentuan-ketentuan yang berlaku. Seperti halnya dalam penggabungan (merger)</div><div>antara PT. Bank Syariah Mandiri, Tbk. dan PT. Bank BNI Syariah, Tbk. ke dalam PT. Bank BRI Syariah, Tbk. Untuk memenuhi keabsahan, dibutuhkan keberadaan Akta Penggabungan yang dibuat dihadapan Notaris. Akta inilah yang kemudian menjadi dasar dari terbentuknya PT. Bank Syariah Indonesia, Tbk. Bersifat otentik dan wajib memenuhi syarat sah perjanjian sebagaimana</div><div>yang ditentukan oleh Pasal 1320 Kitab Undang-undang Hukum Perdata, sehingga memiliki pembuktian yang sempurna dalam kondisi apapun. Berdasarkan uraian tersebut, maka pada penelitian ini dirumuskan masalah bagaimana bentuk pemenuhan syarat sah perjanjian di dalam</div><div>akta penggabungan (merger), serta bagaimana akta penggabungan (merger) dalam pendirian PT. Bank Syariah Indonesia, Tbk. pada masa pandemi Covid-19. Metode penelitian yang digunakan adalah yuridis normatif dan disajikan secara kualitatif. Berdasarkan penelitian ini ditemukan bahwa pemenuhan syarat sah perjanjian dalam Akta Penggabungan dapat dipastikan dengan adanya kesepakatan para pihak yang dituangkan dalam bentuk akta dimaksud, kecakapan para pihak dalam bertindak hukum yang dalam hal ini dapat ditinjau berdasarkan akta perubahan terkahir tiap-tiap Perseroan Terbatas, hal tertentu dimana yang menjadi objek adalah penggabungan Perseroan Tebatas itu sendiri (merger) dan sebab yang halal sebagai parameter bahwa klausul-klausul di dalamnya tidak bertentangan dengan peraturan perundang-undangan,</div><div>ketertiban umum dan kesusilaan. Disamping itu, Akta Penggabungan berkedudukan sebagai dasar dari pendirian PT. Bank Syariah Indonesia, Tbk., sepanjang akta tersebut memenuhi syarat sah perjanjian sebagaimana yang diatur oleh peraturan perundang-undangan yang berlakuk. Since the emergence of the first case on March 2 2020, this pandemic period has not ended. However, this does not prevent the existence of <div>transactions aimed at the economic cycle of society. Based on legal actions, thus creating a legal effect on every transaction made. It requires an agreement from the interested parties based on good faith by taking into account the applicable provisions. As in the merger (merger) between PT. Bank Syariah Mandiri, Tbk. and PT. Bank BNI Syariah, Tbk. into PT. Bank BRI Syariah, Tbk. To fulfill the validity, it is necessary to have the Deed of Merger drawn up before a Notary.
